ARTICLE 1 - Scope
These General Terms and Conditions of Sale apply, without restriction or reservation, to all sales concluded by the company COMBEING (hereinafter referred to as "the Seller") with non-professional buyers (hereinafter referred to as "The Customers" or "the Customer"), wishing to purchase the products offered for sale by the Seller ("The Products") on the websites combeing.fr and www.combeing.de
("the Site"). They specify in particular the conditions for ordering, payment, delivery, and handling of any returns of Products ordered by Customers. The main characteristics of the Products, including specifications, illustrations, and dimensions or capacity details, are presented on the Site. The Customer is required to familiarize themselves with these General Terms and Conditions of Sale before placing an order. The choice and purchase of a Product are solely the responsibility of the Customer. The customer remains solely responsible for the compatibility of the ordered products with their intended use. The customer must use the product in accordance with the reasonable expectations for its use. COMBEING cannot be held responsible for any improper use of the product. The Customer must refer to the description of each Product to understand its essential properties and features. Product offers are made subject to stock availability. These General Terms and Conditions of Sale are accessible at any time on the Site and will prevail, where applicable, over any other version or conflicting document. The Customer acknowledges having read these General Terms and Conditions of Sale and accepted them by checking the appropriate box before initiating the online ordering process on the Site or the order form. As these General Terms and Conditions of Sale may be subject to modifications, the version applicable to the Customer's purchase is the one in effect on the Site at the time of the order. Any new version of the General Terms will be announced on the homepage of the site. Unless proven otherwise, the data recorded in the Seller’s computer system will constitute proof of all transactions with the Customer. In accordance with the Data Protection Act of January 6, 1978, the Customer has the right to access, rectify, and object to their personal data at any time by writing, by mail, and proving their identity, to COMBEING. The geographical area covered by the offer from COMBEING is metropolitan France and continental European Union countries.

ARTICLE 2 - Orders
It is the Customer’s responsibility to select the Products they wish to order on the Site. All information on the essential characteristics of the products, their usage conditions, prices, delivery times, and shipping costs, as well as, where applicable, the availability of spare parts, are provided on the website. The products offered by COMBEING comply with current French legislation and applicable standards in France, including European standards. Any order validated by the Customer through their "double-click" or on paper order constitutes an irrevocable acceptance of these General Terms and Conditions of Sale. Any order placed on the Site constitutes a distance contract concluded between the Customer and the Seller. The sale will only be considered final after the Seller has sent the Customer an order confirmation by email and after the full payment has been received by the Seller. Product offers are valid as long as they are visible on the Site, subject to stock availability. In case of product unavailability after the order has been placed, the customer will be notified by email and will have the option to cancel the order and receive a full refund within 30 days of payment. If the Customer does not wish to cancel the order, COMBEING may offer a similar product of the same price and specifications, or a credit for the next invoice. Product availability times are listed on the detailed product pages online and are reflected for each product in the order form. It is the Customer’s responsibility to verify the accuracy of the order and to immediately report any errors. Contractual information will be confirmed via email. Orders will only be processed after full payment has been received, in the order in which they are actually received. Deliveries are made based on product availability and in the order of arrival of the orders. The Customer will be notified by email when their order is about to be shipped. COMBEING recommends that the Customer keep a record of their order details on paper or a reliable electronic device until the order is fully processed, or at least until the end of the warranty period for the delivered products.

ARTICLE 3 - Pricing
The Products are provided at the current prices listed on the Site at the time the order is recorded by the Seller. Prices are quoted in euros, VAT included. These prices are applicable when the order is validated by the Customer. The price of a product may fluctuate after it is listed on the site. This fluctuation may be temporary as part of a limited-time promotion. Prices are subject to French VAT, and any change in the VAT rate will automatically be reflected in the prices of products presented on the COMBEING site on the date specified by the applicable decree. Prices do not always include handling, shipping, transportation, and delivery fees, which are charged as an additional cost under the conditions stated on the Site and calculated prior to order completion. The Customer will be informed of these fees before order validation. The amount requested from the Customer corresponds to the total cost of the purchase, including these additional fees. An invoice will be issued by the Seller and provided to the Customer upon payment of the products.

ARTICLE 4 - Payment Terms The price is payable online in full or in 3 installments, by check or bank transfer. For payment by check or bank transfer, a 50% deposit is required at the time of the order, and the balance of the invoice is due when the product is picked up or before shipment. COMBEING reserves the right to cancel or suspend any order and/or delivery in case of payment authorization refusal from financial institutions. COMBEING advises the customer to ensure the solvency of their payment before confirming their order.

ARTICLE 5 - Deliveries
The Products ordered by the Customer will be delivered exclusively within metropolitan France or continental European Union countries within a maximum of 60 days to the address provided by the Customer during the order process on the Site or by mail. Delivery is deemed to have occurred when the Customer takes physical possession or control of the Product. Unless in special cases or if one or more Products are unavailable, the ordered Products will be delivered all at once. The Seller commits to making reasonable efforts to deliver the products within the aforementioned times, but these delivery times are for informational purposes. If the ordered Products are not delivered within 60 days after the order has been placed, for any reason other than force majeure or the Customer’s fault, the sale may be cancelled at the Customer’s written request, in accordance with articles L 138-2 and L 138-3 of the Consumer Code. The sums paid by the Customer will then be refunded (including delivery costs) no later than 14 days after the contract cancellation date, excluding any compensation or retention. Products are delivered to the address provided by the consumer on the order form, and orders are generally shipped within 4 to 5 weeks depending on the payment method. The consumer is required to verify the condition of the product packaging upon delivery and report any damages caused by the carrier on the delivery note, as well as to the company within a week. The consumer may request to receive the invoice at the billing address rather than the delivery address by selecting the appropriate option on the order form. For shipments, we primarily work with GTLS. As soon as we dispatch the order, you will receive an immediate notification email. Any issues with the delivery (damage, missing products compared to the delivery note, damaged packages, broken products, etc.) must be noted on the delivery note with "written reserves," signed by the customer. The consumer must also confirm the issue by sending a registered letter to the carrier within two (2) business days following delivery. The consumer must report any delivery errors and/or non-compliance of products with the order's specifications by the end of the delivery day or no later than the first business day after delivery. Any claims made beyond this time frame will be rejected. Claims should be made in priority via phone at 0428044233, Monday to Friday, from 9 am to 12 pm, or through our website under "My Account," then "Order History," where you can submit your inquiry through the "Contact Us" menu, specifying the order reference. Any claim not made according to the rules defined above and within the allotted time cannot be considered, and COMBEING will be released from any responsibility. Upon receiving the claim, COMBEING will assign a product exchange number and communicate it to the consumer by email, fax, or phone. Product exchanges can only take place after the consumer is assigned an exchange number. In the case of a delivery error or exchange, any product to be exchanged or refunded must be returned to COMBEING in its entirety and in its original packaging to the following address: COMBEING SAS 2037 rue de la Font de l'or 42110 CLEPPE contact@combeing.fr. For returns to be accepted, they must first be reported to COMBEING’s customer service. Shipping costs are covered by COMBEING, unless it turns out that the returned product does not match the original declaration made by the consumer on the return form.

ARTICLE 6 - Transfer of Ownership - Transfer of Risk
The transfer of ownership of the Products from the Seller to the Customer will only occur after full payment of the price by the Customer, regardless of the delivery date of the Products. Regardless of the date of ownership transfer, the transfer of risks of loss or deterioration will occur when the Customer physically takes possession of the Products. Products are therefore shipped at the Seller's risk.

ARTICLE 7 - Supplier Liability – Warranty Without prejudice to the legal warranty of Article 1641 of the Civil Code, the application of our warranty depends on the conditions relating to each of our products. The Buyer benefits from a one-year warranty on all devices included in the kits. In order to benefit from the product warranty, the Buyer must keep the invoice. This warranty does not cover improper or non-compliant use of the products (the Buyer is advised to consult the instruction manual provided with the products), defects and their consequences related to use not in accordance with the intended purpose of the product, defects and their consequences related to any external cause, interventions and repairs on the product by the Buyer or a third party, damage from external sources, or damage resulting from poor use or mishandling, or improper installation of the kit. COMBEING shall not be liable for any indirect damage or costs related to an unsuitable environment for the product or resulting from improper use. COMBEING disclaims all responsibility for any incidents or accidents occurring during the installation of the kit in the vehicle when the installation does not follow COMBEING's recommendations. The person performing the installation must wear appropriate protective gear and assess their capacity to carry out the task while following all safety guidelines related to the kit installation and vehicle preparation indicated by COMBEING. Gas hookups for the dinette are the Buyer’s responsibility. COMBEING does not supply gas hoses, regulators, 28mba regulators, gas bottles, or automatic shut-off devices in its kits. The vehicle user is responsible for ensuring that their installation complies with the relevant standards, including EN 1646-1 / EN 721 / EN 1648-2 / EN1949. A change of vehicle type and registration may be required after verification by the competent DRIRE. COMBEING cannot be held responsible for any accident involving a kit element, whether on the road or while camping, if the guidelines provided by COMBEING are not followed. By installing the kit yourself, you accept full responsibility for its use. You acknowledge the risks involved in using it and agree to follow the safety and maintenance rules for each kit element and the converted vehicle. Warnings: The law requires securing or fastening all transported loads during travel and protecting the passenger compartment from the cargo area using appropriate means, such as partitioning. COMBEING cannot be held responsible for the failure to comply with this obligation. The decision to modify the van's original condition is entirely the Buyer’s responsibility. Floors are offered in various universal COMBEING sizes, but they may not fit perfectly due to the universal nature of the kit. COMBEING disclaims responsibility for adjusting the floor dimensions. The vehicle's dimensions may not support all configurations of boxes as imagined. COMBEING does not guarantee all possible assembly configurations.

ARTICLE 8 - Right of Withdrawal
In accordance with current legal provisions, the Customer has a period of fourteen days from the receipt of the Product to exercise their right of withdrawal from the Seller, without providing a reason or paying any penalty, for an exchange or refund. The Customer has 14 days following the notification of withdrawal to return the product. Returns must be made in their original, complete condition (packaging, accessories, manual...) allowing for reselling as new, along with the purchase invoice. Damaged, dirty, or incomplete products will not be accepted. The right of withdrawal can be exercised by sending a simple declaration, without ambiguity, expressing the intention to withdraw. If the right of withdrawal is exercised within the above-mentioned period, only the price of the Products and delivery fees will be refunded; return shipping costs are the Customer's responsibility. Exchange (subject to availability) or refund will be made within 14 days from the receipt of the returned Products by the Seller, according to the conditions specified in this article.

Article 9 - Claims
Claims regarding defective merchandise, inaccuracies in quantities, or incorrect references compared to the order must be submitted to COMBEING by registered mail with acknowledgment of receipt within a maximum of 7 days from the delivery of the Products. The buyer's contact details, the description of the affected items, and the invoice or delivery note number corresponding to the described items must be included in the registered mail.

ARTICLE 10 - Seller Liability – Warranty
The Products sold on the Site comply with applicable regulations in France and are suitable for non-professional use. The Products provided by the Seller benefit from the following, at no extra cost, in accordance with legal provisions: - legal compliance warranty for defective, damaged, or incorrect products, - legal warranty against hidden defects caused by material, design, or manufacturing defects that render the products unsuitable for use. To assert their rights, the Customer must inform the Seller by registered mail with acknowledgment of receipt, within a maximum of 7 days from the discovery of non-compliance or hidden defects.

It is specified that, in accordance with articles L211-4 and following of the Consumer Code, when acting under the legal warranty of compliance, the consumer: - has two years from the delivery of the goods to act, - may choose between repair or replacement of the goods, subject to the cost conditions specified in article L 211-9 of the Consumer Code, - is exempt from proving the existence of a non-compliance defect during the twenty-four months following delivery. The legal warranty of compliance applies regardless of any commercial warranty provided, and the consumer may choose to implement the warranty against hidden defects under article 1641 of the Civil Code; in this case, they can choose between resolution of the sale or a reduction in the sale price in accordance with article 1644 of the Civil Code.

The Seller will refund, replace, or repair Products or parts under warranty that are deemed non-compliant or defective. Shipping costs will be refunded based on the invoiced rate, and return shipping costs will be refunded upon submission of supporting documents. Refunds for non-compliant or defective Products will be processed promptly and within 14 days of the Seller confirming the non-compliance or hidden defect. Refunds will be issued by credit to the Customer’s bank account or by check sent to the Customer. The Seller’s liability will not be engaged in cases of misuse, professional use, negligence, or lack of maintenance by the Customer, nor in cases of normal product wear, accidents, or force majeure. The Seller’s warranty is, in any case, limited to the replacement or refund of non-compliant or defective Products.

ARTICLE 11 - Data Protection
In accordance with Law 78-17 of January 6, 1978, it is reminded that personal data requested from the Customer is necessary for processing their order and for invoicing purposes. This data may be shared, with the Customer’s consent, with any third-party partners of the Seller involved in the processing, handling, management, and payment of orders. The processing of information provided via the Site has been declared to the CNIL. Any individual can request access to the information concerning them by making a simple request. The Customer has, in accordance with national and European regulations, the right to access, modify, rectify, and oppose the use of their personal data by writing to COMBEING and providing proof of identity.

ARTICLE 12 - Intellectual Property
The content of the Site is the property of the Seller and its partners and is protected by French and international intellectual property laws. Any total or partial reproduction of this content is strictly prohibited and may constitute an infringement.

ARTICLE 13 - Applicable Law - Language
These General Terms and Conditions of Sale and the transactions arising from them are governed by and subject to French law. These General Terms and Conditions of Sale are written in French. If they are translated into one or more foreign languages, only the French text will prevail in the event of a dispute.

ARTICLE 14 - Disputes
Any disputes arising from this contract, including its validity, interpretation, execution, termination, consequences, and follow-ups, that could not be resolved between the Seller and the Customer will be submitted to the competent courts under common law. The Customer is informed that they can, in any case, resort to conventional mediation, particularly with the Consumer Mediation Commission or with relevant sectoral mediation bodies.

ARTICLE 15 - Pre-contractual Information - Customer Acceptance
The Customer acknowledges having received, prior to placing their order, in a clear and understandable manner, these General Terms and Conditions of Sale and all the information and details specified in articles L111-1 and following of the Consumer Code, particularly: - the essential characteristics of the Product, - the price of the Products and any additional costs, - the date or time frame in which the Seller commits to deliver the Product, - information regarding the identity of the Seller, its postal, telephone, and electronic contact details, - information on the legal and contractual warranties and their implementation procedures, - the possibility of resorting to conventional mediation in case of dispute, - information on the right of withdrawal, return shipping costs, cancellation procedures, and other important contractual conditions. The fact that an individual or legal entity places an order on the websites “combeing.fr or www.combeing.de” implies full and unconditional acceptance of these General Terms and Conditions of Sale, which the Customer expressly acknowledges, waiving any contradictory documents, including their own general terms and conditions of purchase. GENERAL TERMS AND CONDITIONS OF SALE FOR PROFESSIONALS ARTICLE 1 - Scope
These general terms and conditions of sale constitute, in accordance with article L 441-6 of the Commercial Code, the sole basis of the commercial relationship between the parties. Their purpose is to define the conditions under which COMBEING (“The Supplier”) provides to professional buyers (“the Buyer”) upon request, the following products:
REMOVABLE AND CONVERTIBLE VAN KIT (“The Products”). They apply without restriction to all sales concluded by the Supplier with the Buyer, regardless of the clauses that may appear on the Buyer’s documents, including its general terms and conditions of purchase. These General Terms and Conditions of Sale are always communicated to any Buyer upon request, allowing them to place an order with the Supplier. Any order of Products implies the Buyer’s acceptance of these General Terms and Conditions of Sale and the Supplier’s terms and conditions for electronic orders via the website. The information provided in the Supplier’s catalogs, brochures, and price lists is given for informational purposes and may be revised at any time. The Supplier is entitled to make any changes it deems necessary. The Supplier reserves the right to depart from certain clauses of these General Terms and Conditions of Sale based on negotiations with the Buyer, by establishing Specific Sales Conditions. The Supplier may also establish specific categories of General Terms and Conditions of Sale based on the type of clientele, determined by objective criteria. In this case, the Category-Specific General Terms and Conditions of Sale will apply to all operators meeting these criteria. The Buyer must refer to the description of each Product to understand its properties and essential features. Product offers are subject to stock availability as specified when the order is placed. ARTICLE 2 - Orders - Prices

Sales are perfected only after the establishment and acceptance of a quote by the client and after the Supplier’s express written acceptance of the order, ensuring, in particular, the availability of the requested products. Orders must be confirmed in writing using a purchase order duly signed by the buyer. Any modifications requested by the buyer must be negotiated and agreed upon by the Supplier. A new purchase order will be issued. Orders can be modified according to the tolerances specified in the quote accepted by the client. Products are provided at the Supplier's prevailing prices on the date of the order and, if applicable, in the specific commercial proposal addressed to the Buyer. These prices are fixed and non-negotiable during their validity period, as specified by the Supplier. These prices are exclusive of VAT, ex-works, and packaging costs are additional, with transport costs borne by the Buyer, unless otherwise agreed upon. Special pricing conditions may apply depending on the specific requests of the Buyer, including delivery terms and payment conditions. A specific commercial offer will then be provided to the Buyer. An invoice will be issued by the Seller and provided to the Buyer upon delivery of the ordered Products.

ARTICLE 3 - Payment Terms
The price is payable in full before shipment or collection of the goods as specified on the invoice. A deposit of 50% of the total price of the Products is required at the time of order. The Supplier is not obligated to deliver the products ordered by the Buyer unless the deposit is paid in accordance with the terms and conditions above. In case of delayed payment by the Buyer beyond the due date on the invoice, late payment penalties calculated at the rate set by the European Central Bank for its most recent refinancing operation plus 10 percentage points of the total price including VAT on the invoice will automatically apply to the Supplier, without any formal notice. Payment will make the amounts due immediately payable, without prejudice to any further action the Supplier may take against the Buyer. In case of non-compliance with the payment terms mentioned above, the Supplier also reserves the right to suspend or cancel the delivery of ongoing orders from the Buyer. Finally, a flat-rate compensation of 40 euros for collection costs will be automatically due from the Buyer in case of late payment, without prior notice. The Supplier reserves the right to ask for additional compensation if the collection costs exceed this amount, upon presentation of supporting documents. The Supplier retains ownership of the products sold until full payment by the Buyer, allowing it to reclaim possession of the products. Any deposit paid by the Buyer will remain with the Supplier as compensation, without prejudice to any other actions the Supplier may take against the Buyer. However, the risk of loss and deterioration will be transferred to the Buyer upon delivery of the ordered products. The Buyer undertakes to insure the ordered products, at their own expense, for the benefit of the Supplier, with a specific insurance policy until full transfer of ownership and to provide proof to the Supplier at the time of delivery. If this proof is not provided, the Supplier may delay delivery until this evidence is presented. No discounts will be applied by the Supplier for early payment before the date specified on the invoice or within a period shorter than that specified in these General Terms and Conditions of Sale.

ARTICLE 4 - Discounts, Rebates, and Allowances
The Buyer may benefit from discounts and allowances listed in the Supplier’s price list, based on quantities purchased or delivered by the Supplier in a single shipment to a single location, or based on the regularity of their orders.

ARTICLE 5 - Deliveries
1° - Our delivery times are given for informational purposes and are not binding. They start from the date of receipt of the final order. Delays in delivery cannot under any circumstances result in cancellation of the order in cases of delays due to production limitations, force majeure, or the events referred to in section 2° below. Payment for our goods cannot in any case be modified or deferred due to potential delivery delays. Delivery delays cannot give rise to any penalties or compensation of any kind for the Buyer. 2° - We are fully released from any delivery commitment if the payment terms have not been observed by the Buyer, if the required information from the Buyer has not been received on time, or in cases of force majeure or serious events such as strikes, epidemics, war, requisitions, fire, flood, equipment accidents, major parts scrap in manufacturing, subcontracted parts rejection, transport interruptions or delays, thaw barriers, raw material shortages, or any other cause resulting in partial or total shutdown of operations in COMBEING's factories or those of its suppliers, all of which will have the same effect as force majeure under an express agreement between the parties. 3° - In the case of our free deliveries, transport costs are borne by the Buyer, but the transport will be organized and planned by COMBEING. In all cases, at delivery, the Buyer must make all necessary and detailed reservations with the carrier within the legal time frame and immediately inform COMBEING. We reserve the right to make partial deliveries depending on our availability and after negotiation with the customer. These will be considered as effective deliveries and will require payment. Once the goods are delivered, the Buyer becomes responsible, with the transfer of possession transferring the risk. 4° - Return of goods: A return of goods can only be made with prior express written consent from us. Agreeing to a return for any goods does not give the Buyer the right to return other goods. The return of goods must occur within one month of delivery, with return costs and risks borne by the Buyer. COMBEING will select the carrier, and the return will result in the issuance of a credit note.

ARTICLE 6 - Transfer of Ownership - Transfer of Risk
The transfer of ownership of the Products to the Buyer will only occur after full payment of the price by the Buyer, regardless of the delivery date. However, the transfer of risk of loss or deterioration of the Products will take place upon delivery and receipt of the Products by the Buyer.

ARTICLE 7 - Supplier Liability – Warranty
Without prejudice to the legal warranty under article 1641 of the Civil Code, our warranty applies according to the conditions relating to each product. The Buyer benefits from a one-year warranty on all devices included in the kits. To benefit from the contractual warranty, the Buyer must retain the invoice. This warranty does not cover abnormal or non-compliant use of the products (the Buyer is advised to consult the user manual provided with the products), defects and their consequences linked to improper use, defects due to external causes, interventions, and repairs by the Buyer or a third party, damage from external causes, or improper handling, or incorrect installation of the kit. COMBEING shall not be held responsible for any indirect damage or costs related to an unsuitable environment for the product, or resulting from improper use or inability to use the product. COMBEING disclaims all responsibility and cannot be held liable for incidents or accidents occurring during the installation of the kit in the vehicle. The person performing the installation must wear appropriate protective equipment and assess their capacity to carry out the task while following all safety rules related to kit installation and vehicle preparation. Gas hookups for the dinette are the sole responsibility of the Buyer. COMBEING does not include gas hoses, 28mba regulators, gas bottles, or automatic shutoff devices in its kits. The vehicle user is responsible for ensuring that their installation is certified and compliant with leisure vehicle standards, including EN 1646-1 / EN 721 / EN 1648-2 / EN1949. A type approval change (vehicle registration update) may be required after verification by the competent DRIRE. Purchasing a COMBEING kit does not constitute an exemption from homologating your vehicle. COMBEING cannot be held responsible for an accident involving any Kit component, whether on the road or in camping use. By installing your kit, you accept full responsibility for its use. You acknowledge the risks associated with its use and agree to follow safety and maintenance guidelines for each component of the kit and the converted vehicle.

< span style="font-size: small;">ARTICLE 8 - Intellectual Property
The Supplier retains all industrial and intellectual property rights related to the Products, photos, and technical documentation, which may not be shared or executed without their written consent.

ARTICLE 9 - Disputes
Any disputes arising from this contract, including its validity, interpretation, execution, termination, consequences, and follow-ups, will be submitted to the Saint Etienne court.

ARTICLE 10 - Acceptance of the Buyer
These General Terms and Conditions of Sale, as well as the tariffs and scales for discounts, rebates, and allowances attached, are expressly agreed and accepted by the Buyer, who declares and acknowledges having full knowledge of them, and waives any contradictory documents, particularly their own general terms and conditions of purchase.

ARTICLE 11 – Unit Price Schedule
Unit price schedules are provided upon the Buyer’s request and are available on the website. However, due to the nature of the product, the unit price may evolve depending on the Buyer’s request.
